Terms of Service

These Terms of Service ("Terms") govern your access to and use of Resembly, including the mobile application and the website operated under the domain resembly.cc (collectively, the "Service").

The Service is provided by Resembly ("we", "us", "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Acceptance

By using the Service, you confirm that:

• You are at least 17 years of age, or the age of majority in your jurisdiction, whichever is higher.
• You are legally capable of entering into a binding agreement under applicable law.
• You will comply with these Terms and all applicable laws and regulations.
• You own, control, or otherwise have all necessary rights, consents, and permissions to use and submit any photos to the Service, including, where applicable, the consent of every identifiable person whose face appears in those photos.

2. Description of the Service

Resembly is an AI photo-generation application for iOS. Users select a stylized scene from an in-app catalog curated by Resembly and submit one to four personal photos ("subjects"). The Service then generates a new image in which the subjects appear within the selected scene, using server-side generative AI.

The Service is intentionally focused on this single workflow and is not a general-purpose photo editor.

Core functionality includes:

• A curated catalog of pre-made scenes (the "Feed"). Users do not upload their own scenes.
• Selection of one to four subject photos per generation.
• A mandatory in-app face crop step for each subject photo. Users manually frame the face with a circular indicator before the photo is added to a generation slot.
• Server-side generative AI processing.
• Before/after comparison of the generated result.
• Saving and sharing of the generated image.
• A localized interface available in a range of languages; the exact set of supported languages may change with prospective effect.

Generation requests are queued and processed asynchronously. Processing time depends on demand and is not guaranteed.

3. Access Model and Business Terms

Access to AI generations is metered in credits. One generation request consumes a fixed amount of credits. The exact credit cost is displayed in the application and may change with prospective effect.

3.1 Introductory Complimentary Credits

We may, at our sole discretion, grant a limited amount of complimentary credits to some new users to let them evaluate the Service. Such grants:

• Are entirely optional and not a guaranteed part of the offer.
• May be made in any amount, including zero, and may differ from user to user, region to region, or release to release.
• May be paused, modified, or discontinued at any time, with prospective effect.
• Are non-transferable, non-refundable, and have no cash value.
• When granted, they are consumed alongside any other available credits and remain usable until depleted, unless the application or these Terms indicate otherwise.

Generation results produced from complimentary credits include a Resembly watermark on the output image. Once you start consuming credits from a paid subscription, subsequent generations are delivered without the watermark. The watermark is not removed retroactively from images that were already produced from complimentary credits, including those you have saved or shared outside the Service.

The absence of complimentary credits is not a defect of the Service.

Any complimentary credits we may grant are separate from any Apple-configured free trials that may appear in App Store purchase dialogs.

3.2 Subscriptions

The Service offers weekly auto-renewable subscriptions through Apple In-App Purchase. Plans are presented as named tiers; the set of tiers, their names, the amount of credits each plan grants per billing period, and the per-request credit cost may change with prospective effect.

Each active subscription provides:

• Access to all AI generation features.
• A credit allocation that is granted upon a successful start or renewal of the billing period.
• Use across devices signed in with the same Apple ID.

The exact credit allocation of each plan, the per-request credit cost, and the price are shown in the application and in the App Store purchase dialog prior to purchase. Prices and credit allocations vary by region and by release.

3.3 Subscription Terms

• Auto-renewal: Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current billing period.
• Payment: Charges are billed to your Apple ID at confirmation of purchase and upon each renewal.
• Cancellation: You may cancel at any time through your Apple ID subscription settings. Cancellation takes effect at the end of the current billing period.
• Credit grants: Weekly credits are granted only upon a successful start or renewal of the subscription billing period.
• Unused credits: Weekly credits granted by a subscription do not roll over to subsequent periods. Introductory and promotional credits follow their own rules described in these Terms and in the application.
• Plan changes: Upgrading or downgrading a plan is handled by Apple; the resulting credit balance is governed by Apple's proration rules and our balance reconciliation, which favors the user.
• Refunds: All refunds are handled exclusively by Apple in accordance with Apple's refund policies. We do not issue refunds directly.

3.4 Restore Purchases

• Purchases may be restored on any device signed in with the same Apple ID.
• Restoring purchases restores access to an active subscription.
• Restoring purchases does not reset, top up, or accelerate credits, which remain governed by the current subscription period.

3.5 Promotional Credits

We may, at our discretion, run promotional mechanics that grant additional credits (for example, a time-limited daily bonus). When active, such mechanics:

• Are clearly visible in the application.
• May have their own eligibility windows, cooldowns between claims, and expiry rules.
• May be modified, paused, or discontinued at any time, with prospective effect.

Promotional credits are not purchased and have no cash value.

4. Credit Usage and Fair Use

• Each successful generation request consumes the fixed credit cost displayed at the time of the request.
• Generation requests that fail prior to a successful AI result do not consume credits. This includes requests rejected by content moderation, terminated by network or technical errors, or cancelled by the user before any AI processing has occurred.
• Where credits have already been reserved for such a failed request, they are returned to the user's balance.
• We reserve the right to limit, suspend, or terminate access in cases of abuse, fraud, automated usage, or attempts to circumvent credit accounting, security mechanisms, or App Store policies.

5. Acceptable Use

You may use the Service only for lawful purposes and only with content for which you hold all necessary rights and consents.

You agree not to use the Service to:

• Generate or place individuals in explicit, sexual, pornographic, or sexually suggestive contexts.
• Involve minors in sexual, exploitative, dangerous, or otherwise inappropriate contexts.
• Create non-consensual depictions of real persons, including deepfakes or other deceptive media, or impersonate any person without their consent.
• Generate content that promotes violence, terrorism, self-harm, illegal activity, hate, or harassment.
• Infringe intellectual property, publicity, or privacy rights, including by submitting photos of identifiable persons without their permission.
• Circumvent subscriptions, credit limits, content moderation, or security mechanisms.
• Use automation, bots, scraping, reverse engineering, or bulk processing of the Service without prior written authorization.
• Resell or redistribute access to the Service.

Use of Generated Images

You may use generated images for personal or commercial purposes, provided that:

• You hold all rights to the underlying subject photos and any other input content.
• The resulting use complies with applicable laws and the consent of any identifiable person.
• The use does not violate the prohibited uses listed above.

You are solely responsible for any use of generated images outside of the Service.

6. Content Moderation

• Submitted photos and generation requests are screened by automated AI-based content moderation prior to and during AI processing.
• Items rejected by moderation are not used to produce a result and do not consume credits.
• A rejection is an automated decision and does not necessarily imply wrongdoing by the user; you may continue to use the Service with different content.
• We reserve the right to refuse, remove, or block content that we reasonably believe violates these Terms.

7. Intellectual Property

7.1 Your Content

You retain ownership of the photos you submit ("Your Content").

You grant Resembly a limited, non-exclusive, non-transferable, royalty-free license to:

• Receive, transcode, temporarily store, and process Your Content solely to provide the requested Service.
• Retain Your Content for a short operational window required to complete the request and any limited automatic retries; typical retention of user-submitted images and generated results in our processing storage is up to a few days, after which they are automatically deleted by lifecycle rules.
• Use aggregated, non-identifying operational telemetry (such as success rates, latencies, and error categories) to maintain, secure, and improve the Service.

We do not use Your Content for AI model training, advertising, or marketing without your explicit consent.

7.2 Catalog Scenes

The Service uses scenes curated and provided by Resembly ("Catalog Scenes"). Catalog Scenes are provided to you solely as inputs to the AI generation process and may not be extracted, redistributed, or used outside of the Service.

7.3 Our Property

All software, design, branding, the Catalog Scenes, and other content of the Service are the exclusive property of Resembly or its licensors. You may not copy, modify, distribute, or create derivative works without prior written permission, except for the result images you are entitled to use under Section 5.

8. Privacy

Your use of the Service is governed by our Privacy Policy, available at https://resembly.cc/privacy, which is incorporated into these Terms by reference.

9. Availability and Technical Limitations

• The Service requires a compatible Apple device running a supported version of iOS and an active internet connection.
• AI-generated results are inherently probabilistic; output quality and likeness vary depending on the subject photos, the chosen scene, and other factors.
• The face crop step is mandatory: photos that do not pass through it cannot be added to a generation request, and very small, blurry, or partially obscured faces may produce reduced result quality.
• We do not guarantee uninterrupted, error-free, or always-available service. Scheduled maintenance, third-party outages (including Apple and our hosting providers), or force majeure events may affect availability.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind.

To the maximum extent permitted by applicable law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, likeness, or appropriateness of AI-generated results.

11. Limitation of Liability

AI-generated results are probabilistic and may not meet subjective expectations.

To the fullest extent permitted by applicable law:

• Resembly shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of goodwill.
• Our aggregate liability for any claim arising out of or related to the Service shall not exceed the greater of (i) the amount you paid to Apple for the Service in the twelve (12) months preceding the claim, or (ii) USD 100.

Nothing in these Terms limits liability where such limitation is prohibited by applicable consumer protection laws.

12. Indemnification

You agree to indemnify and hold Resembly, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms.
• Your misuse of the Service.
• Photos or other content you submit through the Service, including any claim by an identifiable person depicted in such content.

13. Termination

We may suspend or terminate your access if you violate these Terms, misuse the Service, or threaten the integrity or safety of the Service or other users.

You may stop using the Service at any time. Resembly does not issue refunds directly; any refunds for unused credits or unused portions of a subscription period are administered solely by Apple under its refund policies, or where required by applicable law.

14. Changes to the Terms

We may update these Terms from time to time. Updated versions will be published on our website and made available within the Service.

Continued use of the Service after a revised version becomes effective constitutes acceptance of the revised Terms.

15. Governing Law and Consumer Rights

These Terms are governed by the laws of the State of California, United States, excluding conflict-of-law rules.

If you are a consumer residing in the European Union, the United Kingdom, or another jurisdiction with mandatory local consumer protection laws, those laws apply to the extent required. Nothing in these Terms limits or waives your statutory rights under applicable consumer protection regulations.

16. App Store and Apple Terms

• The Service is distributed exclusively through the Apple App Store.
• All purchases are processed exclusively through Apple In-App Purchase. We do not use alternative payment methods and do not offer digital content outside Apple's payment system.
• Apple is not responsible for the Service, its content, or any claims relating to it.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
• We do not require reviews or ratings to unlock features.
